Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at usepapertrail.app, the PaperTrail web application at https://studio-dashboard.usepapertrail.app, and related services (together, the "Services") operated by PaperTrail ("PaperTrail", "we", "us", or "our"). PaperTrail is operated by an individual, not a separate registered company. In these documents, "PaperTrail", "we", "us", and "our" refer to that operator.

By creating an account, clicking to accept, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and changes

You must be at least the age of majority in your jurisdiction (and in any event at least 18) to use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.

We may modify these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. If a change is material, we will provide additional notice where appropriate (for example, by email or in-product). Your continued use after the effective date of changes constitutes acceptance of the revised Terms, except where prohibited by law.

2. The Services

PaperTrail helps you track document and renewal dates, store related information you choose to add, receive reminders, and use optional features such as sharing or inbound email processing where we make them available. Features may change; we do not guarantee any specific feature will remain available.

The Services are provided for personal or internal business organisation. They are not a substitute for legal, financial, immigration, or compliance advice. You remain responsible for meeting your own obligations and deadlines.

3. Account and security

You may need to register an account. You agree to provide accurate information and to keep it current. Access may be via passwordless authentication (for example, magic link or one-time code sent to your email). You are responsible for safeguarding access to your email account and any device on which you stay signed in.

Notify us promptly at support@usepapertrail.com if you suspect unauthorised use of your account.

4. Acceptable use

You agree not to:

  • Use the Services unlawfully, fraudulently, or in a manner that infringes third-party rights.
  • Attempt to gain unauthorised access to the Services, other users' accounts, or our systems (including probing, scanning, or bypassing security).
  • Reverse engineer, decompile, or disassemble the Services except to the extent such restriction is prohibited by applicable law.
  • Use automated means (including bots or scrapers) to access the Services in a way that burdens our infrastructure or violates our technical policies, except where we provide an authorised API or integration.
  • Upload malware, spam, or content you do not have the right to use or share.

We may investigate violations and cooperate with law enforcement where required.

5. Your content

You retain ownership of content you submit to the Services ("Your Content"). To operate the Services, you grant us a non-exclusive, worldwide licence to host, store, reproduce, process, display, and transmit Your Content solely as needed to provide, secure, and improve the Services and as described in our Privacy Policy.

You are responsible for Your Content and for ensuring you have the rights to upload and process it. You should not upload content you are prohibited from sharing or that contains unnecessary sensitive information. We may remove or restrict content that violates these Terms or applicable law.

6. Subscriptions, trials, and payments

Certain features may require a paid subscription. Fees, billing cycles, and plan details are presented at checkout or in your account. Unless stated otherwise, subscriptions renew automatically until cancelled.

We may offer a free trial (currently 7 days where advertised). Trial terms shown at sign-up apply. Where we offer "no card to start" for a trial, you will not be charged until you add payment details and subscribe, as explained in the product flow.

Payments are processed by Stripe, Inc. and its affiliates. By subscribing, you agree to Stripe's terms and privacy policy, in addition to these Terms. We do not store your full payment card number on our servers.

You authorise us and Stripe to charge your payment method for applicable fees, including taxes where required. If a payment fails, we may suspend access until payment succeeds. You may cancel your subscription through the billing tools we provide or via the Stripe customer portal where applicable. Cancellation stops future charges; past fees are generally not refunded unless required by law or stated otherwise at purchase.

We may change prices with reasonable notice. Continued use after a price change may constitute acceptance of the new price.

7. Third-party services

The Services may integrate with or link to third-party services (including hosting, authentication, email, analytics, and AI-assisted features where offered). Those services are governed by their own terms and policies. We are not responsible for third-party services you choose to use.

8. Our intellectual property

The Services, including software, branding, and documentation, are owned by PaperTrail or our licensors and are protected by intellectual property laws. Except for the limited rights to use the Services under these Terms, we grant you no licence to our intellectual property.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Reminders, extracted dates, and automated suggestions may be incorrect. You should verify important dates and obligations independently.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PAPERTRAIL NOR ITS SUPPLIERS OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (USD $100), IF YOU HAVE NOT HAD PAYMENT OBLIGATIONS IN THAT PERIOD.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including death or personal injury caused by negligence, fraud, or wilful misconduct where applicable).

11. Indemnity

You will defend, indemnify, and hold harmless PaperTrail and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Services in breach of these Terms, or your violation of applicable law or third-party rights.

12. Suspension and termination

We may suspend or terminate your access to the Services if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Services (where we will provide reasonable notice unless an emergency or legal obligation prevents it).

You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

13. Governing law and jurisdiction

These Terms are governed by the laws of the jurisdiction where the individual operating PaperTrail is ordinarily resident, without regard to conflict-of-law rules that would require the application of another jurisdiction's laws.

Subject to mandatory consumer protections in your country, you agree that the courts of the jurisdiction where the individual operating PaperTrail is ordinarily resident have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, except that we may seek injunctive relief in any competent court.

14. General

These Terms, together with the Privacy Policy, the Cookie Policy, and any additional terms presented at the point of use for specific features, constitute the entire agreement between you and PaperTrail regarding the Services and supersede prior understandings on the same subject.

If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
